1. Acceptance of Terms

Welcome to NumisDex. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use NumisDex.

These Terms constitute a legally binding agreement between you and Numisdex LLC, a Georgia limited liability company ("NumisDex," "we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the updated Terms.

2. Account Registration and Responsibilities

2.1 Account Creation

  • You must be at least 13 years old, or the minimum age of digital consent in your country or region (whichever is higher), to create an account
  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account

2.2 Account Security

  • Choose a strong, unique password for your account
  • Notify us immediately if you suspect unauthorized access to your account
  • Do not share your account credentials with others
  • We are not liable for losses resulting from unauthorized use of your account

2.3 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Abuse or harass other users
  • Attempt to manipulate the platform or DAC scoring system

3. User-Generated Content

3.1 Content Ownership

  • You retain ownership of content you submit to NumisDex (coin submissions, grading opinions, forum posts, etc.)
  • By submitting content, you grant NumisDex a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content on the platform
  • This license allows us to operate the platform, display your contributions, and provide community features

3.2 Content Standards

You agree not to submit content that:

  • Is illegal, fraudulent, defamatory, or obscene
  • Infringes on intellectual property rights
  • Contains malware, viruses, or malicious code
  • Harasses, threatens, or abuses other users
  • Manipulates or misleads other users
  • Violates any applicable laws or regulations

3.3 Content Moderation

  • NumisDex reserves the right to review, edit, or remove any user-generated content
  • We are not obligated to monitor all content but may do so for quality and safety
  • Removed content may be retained for legal or operational purposes
  • Repeat violations may result in account suspension or termination

3.4 Content Attribution

  • When you delete your account, your contributions (submissions, votes, grading opinions) will be anonymized but remain visible to preserve platform integrity and community knowledge
  • Your personal information will be permanently deleted, but your anonymized contributions help maintain the platform's historical accuracy

4. Coin Grading and Valuation Disclaimers

4.1 Community Grading System

  • NumisDex provides a community-driven grading platform, not professional grading services
  • Grading opinions are provided by community members and should not be considered professional appraisals
  • Community grades are for informational and educational purposes only

4.2 No Professional Advice

  • NumisDex does not provide professional numismatic appraisal, investment, or financial advice
  • All valuations, grades, and pricing information are community-contributed estimates
  • Do not rely solely on NumisDex grades for making purchase, sale, or investment decisions

4.3 Third-Party Grading Services

  • For official grading, consult professional grading services (PCGS, NGC, ANACS, etc.)
  • NumisDex is not affiliated with or endorsed by professional grading companies
  • NumisDex does not guarantee that community grades will align with professional grades

4.4 Investment Risk

  • Numismatics involves investment risk
  • Coin values can fluctuate based on market conditions
  • Past performance does not guarantee future results
  • Always conduct your own research and consult professionals before making financial decisions

5. DAC Points and Gamification

5.1 DAC Points System

  • DAC (Distributed Accuracy Credits) points are a gamification feature, not currency
  • Points have no monetary value and cannot be exchanged for cash
  • Points are awarded for platform contributions (submissions, accurate grading, participation)
  • Points may be adjusted or recalculated based on accuracy and platform improvements

5.2 DAC Tiers

  • Users are assigned DAC tiers based on their cumulative points
  • Tiers may provide platform perks, recognition, or additional features
  • Tier benefits may change at NumisDex's discretion
  • Tiers do not confer ownership rights or financial entitlements

5.3 Anti-Manipulation

  • Attempting to manipulate the DAC system through fraud, spam, or coordinated voting is prohibited
  • We reserve the right to adjust or reset points if manipulation is detected
  • Severe manipulation may result in account suspension or termination

6. Intellectual Property

6.1 NumisDex Platform

  • The NumisDex platform, including design, logos, code, and content, is owned by NumisDex
  • You may not copy, modify, distribute, or reverse engineer any part of the platform
  • Unauthorized use of NumisDex intellectual property is prohibited

6.2 User Content

  • You represent that you own or have the right to submit all content you upload
  • You agree to indemnify NumisDex against any claims related to your submitted content
  • If you believe your intellectual property has been infringed, contact us immediately

6.3 Coin Images and Data

  • Coin images and data submitted by users are their own or used with permission
  • NumisDex is not responsible for copyright infringement by users
  • If you submit copyrighted material, ensure you have the right to do so

7. Prohibited Activities

You may not:

  • Use automated bots, scrapers, or scripts to access the platform
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security measures or authentication mechanisms
  • Create multiple accounts to manipulate voting or grading
  • Sell or transfer your account to others
  • Use the platform for illegal activities
  • Impersonate other users or entities
  • Collect or harvest user data without permission
  • Interfere with the platform's operation or infrastructure

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

Key privacy commitments:

  • We never sell your personal data to third parties
  • We use data only for platform operation, analytics, and personalization
  • You have the right to export or delete your data at any time
  • We comply with GDPR and other applicable data protection regulations

  • We are not responsible for the content, privacy practices, or terms of third-party services
  • Use third-party services at your own risk

9.2 Integrations

  • NumisDex may integrate with third-party authentication providers (Google, Facebook, etc.)
  • By using these integrations, you agree to the third party's terms and privacy policy
  • We are not responsible for third-party service failures or data breaches

10. Disclaimers and Limitation of Liability

10.1 "As-Is" Service

  • NumisDex is provided on an "as-is" and "as-available" basis
  • We do not guarantee uninterrupted, error-free, or secure operation
  • We do not warrant the accuracy, completeness, or reliability of any content or data

10.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMISDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Accuracy of grading, valuations, or numismatic information
  • Security of the platform or user data

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMISDEX SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from user-generated content or third-party actions
  • Damages exceeding $100 USD or the amount you paid to NumisDex (if any) in the past 12 months

10.4 User Responsibility

  • You are solely responsible for your use of the platform
  • You are responsible for verifying information before making decisions
  • You agree to use the platform at your own risk

11. Indemnification

You agree to indemnify, defend, and hold harmless NumisDex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Content you submit to the platform

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

12.2 Informal Resolution

Before filing a formal claim, you agree to contact us at support@numisdex.community to attempt to resolve the dispute informally.

12.3 Arbitration (Optional)

For disputes that cannot be resolved informally, you agree to binding arbitration in the State of Georgia under the rules of the American Arbitration Association (AAA).

12.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or collective proceedings.

13. Platform Changes and Termination

13.1 Platform Updates

  • We may modify, update, or discontinue features at any time without notice
  • We may perform maintenance that temporarily interrupts service
  • We are not liable for losses resulting from platform changes or downtime

13.2 Service Termination

  • We reserve the right to terminate or suspend the platform at any time
  • If we discontinue the platform, we will provide reasonable notice and allow data export
  • We are not liable for damages resulting from service termination

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NumisDex.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to a successor entity.

14.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, strikes, internet outages, etc.).
